API Terms of Service

True Fiction Production AB, org.no. 556827-0614 ("TFX", “we”, “us” or “our”), provides on the Avtalsbevakning website an API ("the API") to the customer (the “Customer”, “you” or “your”) that provides access to information, code and other material ("API Content").

These terms of service (the "Agreement") describe the conditions under which the API is provided, how we expect you to use the API, and what you have the right and obligation to do when you use the API content in your own products or services.

By accepting this Agreement, you represent that you have read, understood and agree to the terms and conditions set forth herein, and the documents to which the Agreement refers.

TFX has the right to change these general terms and conditions with effect 30 days after the new general terms and conditions have been published and communicated to the customer.

Services

TFX hereby grants you a non-exclusive, non-transferable, non-assignable and revocable license to use the API in accordance with this Agreement. This license, and the products and services you develop under the license, do not limit TFX's or our data sources' right to freely use, develop, modify, and stop providing the API, API Content, and related products and services.

However, as noted below, we will keep you updated on changes to the API and our ability to provide the API.

Term of Agreement

TFX and/or the third parties with whom we collaborate hold the ownership and intellectual property rights to the API. Unless you have received our specific, written approval, you are therefore not entitled to claim ownership of, publish, copy, transfer, license or otherwise dispose of the API's source code or call structure in any other intellectual property relevant way.

In connection with the API content being used in products or services developed by you, you do not have the right to refer to the API or to TFX's company or trademarks.

Personal information

The API content includes personal data, and you are aware of and accept that by collecting, using, compiling, disseminating or otherwise processing such personal data, you are the data controller for this processing in accordance with applicable personal data laws.

Technical demands

You may only connect to the API in the manner that follows from our instructions, and may not technically provide you with unauthorized access to, interfere with, or disable the API. This means, but is not limited to, that you undertake not to spread viruses, worms, trojans or other malicious code in the API or on the website where the API is provided.

Customer restrictions

Your access to the API and the API content is conditional on you paying for your use in accordance with the prices and payment terms that appear in our Price List.

You may not use the API or API content for products or services that risk harming TFX's business or conflicting with our interests.

You may not use the API or API Content for products or services that violate, or encourage the violation of, applicable laws and regulations.

If you have any questions about the meaning of the restrictions set forth in this section “Other requirements for use” or wish to use the API or the API Content in any way other than as set forth herein, please contact us. However, you may not begin any such other use until you have received our written approval.

Responsibility

We strive to continually improve the API and would appreciate it if you would inform us of any errors or shortcomings in the user experience by sending a message to support@avtalsbevakning.se. As detailed in this point "Responsibility", however, we have limited opportunities to remedy errors or problems.

You acknowledge and agree that TFX makes no representations or warranties regarding the quality, security, reliability, availability or performance of the API or API Content. Accordingly, regardless of what appears in our Technical Documentation or any descriptions of the API's function in connection with the provision of the API, you cannot expect that the API will be error-free, free of security issues, up-to-date or a suitable data source for the products or services in which you intend to use it.

You acknowledge and agree that you use the API at your own risk, and that TFX shall not be liable for any indirect damages incurred by you as a result of your use of, or inability to use, the API or API Content . In this Agreement, indirect damages mean, for example, loss of profit, loss of use of your products or services, compensation for use of a substitute service, loss of data, costs of troubleshooting, damage to goodwill and damage due to viruses and other security-related problems. You also accept that TFX's total liability to you for using, or not being able to use, the API or API Content is limited to the total subscription cost paid by the customer during the term of the agreement.

If you, as a user, generate data and information to the API, you accept that you yourself are responsible for having the right to publish and disseminate such information, including but not limited to that you (i) do not act in violation of the intellectual property rights of others; (ii) has a legal basis to disseminate any personal data; (iii) does not disseminate information that violates, or encourages the violation of, applicable laws and regulations.

You agree to indemnify TFX, our partners and employees for any claims by third parties arising out of your use of the API or API Content in violation of this Agreement.

Changes

We reserve the right to update and change the API, API Content and this Agreement in accordance with our Change Policy.

Changes to this Agreement are documented by us issuing a new version of the terms.

By continuing to use the API after a change has been implemented, you represent that you accept the change. If you do not wish to accept a change, you are no longer entitled to use the API and must terminate your connection to the API in accordance with the clause “Contract period” below.

Contract period

Your license to the API comes into effect when you accept the Agreement for your subscription where access to the API is included and is valid as long as TFX provides the API or your subscription agreement is valid.

TFX reserves the right to immediately terminate your access to the API if you use the API or the API Content in violation of what is set forth herein. We also reserve the right, in our reasonable discretion and upon prior notice to you, to permanently or temporarily stop providing all or part of the API or API Content.

You have the right to stop using the API at any time, without any particular reason and at no cost.

If your right to use the API ends, you must immediately terminate and delete your connection to the API.

Other

These General Terms constitute the complete regulation of all matters relating to your right to use the API and the API Content. Changes to or additions to these terms and conditions must, in order to be valid, be confirmed in writing by TFX.

You may not assign your rights and obligations under this Agreement to a third party. TFX reserves the right, after special notification to you, to assign the Agreement to companies within our group and to a third party that acquires all or parts of our business.

To the extent that any of your obligations or any limitation of your rights under this Agreement, due to your rights as a consumer, is not permitted by law, they shall not be enforceable against you. Nothing in the Agreement is therefore intended to exclude or limit rights that you as a consumer have by law.

Force Majeure

If the fulfillment of the agreement is significantly impeded as a result of external circumstances over which the parties have no control, e.g. measures by authorities, war, mobilization, enhanced defense preparedness, fire, lack of manpower, labor market conflict, natural disaster, adverse weather conditions, the obligations of the parties are suspended to the extent that the circumstances permit, and as long as the circumstances prevail.

Dispute resolution

Any dispute arising from this agreement shall first be resolved through negotiation between the parties.
Failing such resolution, the dispute shall be finally settled by the Stockholm District Court (Stockholms tingsrätt) as the court of first instance.
